Legal Framework Overview

A concise reference to the four core commercial and operational pillars governing every BITS Blackrock IT Solutions LLC engagement: intellectual property ownership, post-launch maintenance, media revisions, and payment terms.

IP Ownership

Upon final payment, Clients own "Foreground IP" (custom code/UI); BITS Blackrock IT Solutions LLC retains "Background IP" (core libraries) with a perpetual license for the client.

Maintenance

Post-launch support and bug fixes require a separate, paid Service Level Agreement (SLA).

Media Revisions

Digital assets are limited to 2 rounds of modifications. Out-of-scope changes require a Change Order at standard hourly rates.

Payment Terms

30-day payment windows. Overdue invoices incur a fixed, non-compounding 2% monthly administrative penalty.
